MEMBERSHIP AGREEMENT
THIS MEMBERSHIP AGREEMENT (the “Agreement”) has been concluded and is effective between the TGA (“Türkiye Tourism Promotion and Development Agency”) and users who create a membership account and want to joint TGA’s Certificate Program (“Member”), hereinafter individually and collectively referred to as the “Party/Parties“. Members of the Certificate Program shall be referred to collectively as the “Members”. NOW THEREFORE, the TGA agrees to admit Member on the terms and consideration contained herein, and Member agrees to abide by the terms and conditions contained herein:
- 1. SCOPE and CONDITIONS of the TGA’s CERTIFICATE PROGRAM
- The TGA’s Certificate Program is public to all users. In order to join the Certificate Program users shall have to create a membership account on allinturkiye.com website. The information required to create an account and the certificate program itself can be found at the registration form.
- Trainings will be given online and will be free of charge. Training periods may vary depending on the certificate program. The duration of the program may vary depending on the certificate program. Information about the training, content and duration of the certificate programs will be given before the Certificate Program. This information will be included in the certificate programs.
- The scope of the certificate programs to be applied will be given within the training modules. The overall scope of the program is based on the courses to pull up users level of knowledge about Türkiye and provide “Türkiye Specialist” certificate to that users after successfully accomplishing the certificate program.
- 2. OBLIGATIONS of the TGA
The obligation of the TGA shall be to deliver the promised online trainings without any problems and to deliver the certificate to the members who have completed the necessary trainings. The certificate will be sent by e-mail, no physical certificate will be sent.- 3. MEMBERSHIP RIGHTS AND OBLIGATIONS
- Members do not have a responsibility to continue the certificate program. The members who wish can leave the program at any time by sending an e-mail to [email protected] email address.
- “Türkiye Specialist” title provides following advantages to tour operators located abroad, agencies and all employees, who sells Türkiye as a travel destination: To know all products in Türkiye together, to know which tourism products are available and how it is sold / routes - tours, etc. On the other side this title provide an image of expertise in the eye of the customer. Members can use this title on his/her corporate or individual websites.
- There is no validity period for the certificate.
- Members shall provide to TGA “First Name, Last Name, Username, Gender, Job Title, Organization Name, Organization Type, City, Country or Region of Residence, Phone, Website, Email, Password, Experiences Customers Ask for, Categories of Travel, Education Completed, Time Zone, Language, Preferred Language, Year of Birth, Social Media Links (Facebook, Twitter, LinkedIn)” Information in order to obtain certificate.
- Compliance with Policies: As it pertains to their activities with the TGA Certificate Program, Member agrees to abide by, and shall have all applicable rights and obligations as set forth in the TGA’s Privacy Policy and Terms of Use and all additional policies, procedures and other governance rules, as may be amended from time to time in accordance with relevant Laws and Regulations.
- Use of the TGA’s Names, Logos, and Trademarks. Member agrees to comply with the TGA’s policies and procedures, which govern the use of any names, logos, or trademarks.
- Member/s (data subject) shall have a right to data protection and privacy over his/her personal data processed by the TGA during membership and certification processes. Details of data subject rights and methods to use that rights are available over allinturkiye.com website and also the TGA’s Privacy Policy.
- 4. TERM AND TERMINATION
- Term. The term of this Agreement shall begin on the Effective Date and, except as provided below, shall continue indefinitely subject to the rights of termination set forth in 3.1. of this Agreement.
- Termination. Member may terminate its membership in accordance with Article 3.1. of this Agreement. Upon termination of Member’s membership, this Membership Agreement shall terminate.
- 5. GENERAL
- Authority to Execute Agreement. Member hereby represents, warrants and covenants to the TGA that (a) it has the authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement does not and will not violate any agreement to which Member is a party or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation of Member, enforceable in accordance with its terms.
- No Other Licenses. By executing this Agreement, Member neither grants nor receives, by implication, estoppel, or otherwise, any rights under any copyright, patents or other intellectual property rights of the TGA or another Member.
- No Employment Relationship. Nothing in this Agreement is intended to give rise to an employer/employee relationship between Member and the TGA.
- Limitation of Liability. To the extent permissible by law, in no event will either the TGA or Member be liable to each other under this Agreement for the cost of procuring substitute goods or services, lost profits, lost revenue, lost sales, loss of use, loss of data, or any incidental, consequential, direct, indirect, punitive or special damages, whether or not such Party had advance notice of the possibility of such losses or damages.
- Governing Law. Any dispute arising out of or in relation with the conclusion, validity, existence, enforcement and termination of this Agreement, and its interpretation, on contractual or extracontractual grounds shall be construed and governed by the laws of Türkiye and depending on circumstances enshrined in the EU’s General Data Protection Regulation (“GDPR”) by the data protection law of the EU without reference to conflict of laws principles.
- Dispute resolution. Both the TGA and Member irrevocably agree that the Courts of the Ankara, Türkiye shall have exclusive jurisdiction to settle any dispute or claim.
- Notices. All notices or other communications to or upon any Party will be served by electronic mail with acknowledgment of receipt. In the absence of reaction from the other Party within three (3) days or if no acknowledgement of receipt is served within this period, the notifying Party will serve this notice by written mail.
- Amendment. Member shall be given at least thirty (30) days prior written notice of the effective date of an amendment to this Agreement. If Member does not agree, such disagreement to be confirmed in writing, Member may terminate this Agreement.
